Nearly 40 years ago, Badger Meter published “Our Corporate Conscience,” a brochure that would serve as the underlying philosophy and principles by which our business is conducted. It translated the mission, products and corporate goals into a code of ethics, along with expectations for customer, employee and community relations. Driving the “triple-bottom line” of people, planet and profits has been part of Badger Meter DNA and culture for decades.
The Board, primarily through its Corporate Governance and Sustainability Committee, provides oversight of our overall approach to sustainability, including corporate social responsibility. The approach is informed by regular engagement with shareholders and other stakeholders. In connection with this oversight, the Board and the Corporate Governance and Sustainability Committee have reviewed the company’s sustainability strategy and regularly discuss this strategy with management.
The ESG Steering Committee of Badger Meter is led by the Vice President of Investor Relations, Strategy and Treasurer and is comprised of cross-functional leaders from major disciplines including Sales, Engineering, Operations, Human Resources and Legal. This committee meets regularly to identify, prioritize and drive sustainability and other ESG efforts and monitor progress. Representatives of the committee provide regular reports to the CEO and Corporate Governance and Sustainability Committee.
While management has responsibility for managing risk, our Board has responsibility for risk oversight. The Audit and Compliance Committee oversees our enterprise risk management (ERM) processes and policies. This includes cybersecurity and data privacy risks. Badger Meter has created a Task Force on Climate-related Financial Disclosures (TCFD) report as part of its Sustainability Report, which provides an overview of climate-related risks and opportunities.
