SmartCover® and Data Flow Systems now Badger Meter

Legal Entity Consolidation to Badger Meter, Inc. – Effective January 1, 2026. As a result of the Badger Meter acquisition of SmartCover on January 31, 2025, we are now legally consolidating our entities. Effective January 1, 2026, the Hadronex legal entity, including its d/b/a SmartCover and subsidiary Data Flow Systems (DFS), will be merged into Badger Meter, Inc. and dissolved.

What exactly is changing?

Beginning January 1, 2026, the legal entity that you contract with and pay will change from Hadronex d/b/a SmartCover and Data Flow Systems to Badger Meter, Inc.

What is staying the same?

This is a full legal entity change, not just a d/b/a name change. All future documentation should list Badger Meter, Inc. as the contracting party. Our ongoing commitments to you remain unchanged:

  • Our People: Your day-to-day contacts remain the same; only their email addresses will change.
  • Service Excellence: Our commitment to quality, responsiveness and technical expertise continues without interruption.
  • Locations: All current physical office and service locations remain operational—no change to delivery or service areas.
  • Warranty & Support: All existing warranties remain valid and will be supported by Badger Meter under the original terms.

How does this affect purchase orders, invoices and payments?

  • Purchase Orders: All purchase orders with dates occurring after January 1, 2026, should list Badger Meter, Inc. as the Supplier/Vendor.
  • Invoices: Beginning January 1, 2026, all invoices will be issued by Badger Meter, Inc. The format of your invoice may look slightly different, but it will continue to contain all necessary purchase and payment details.
  • Payments & Remittance Details: Payments for invoices dated on or after January 1, 2026, should be made to Badger Meter, Inc. using the updated remittance instructions provided in your client communication. Note: Because banking details vary slightly between SmartCover and DFS accounts (both BMO institutions), please refer to the specific instructions.

What happens to my existing contracts and warranties?

Your contracts and warranties continue, but the entity behind them changes:

  • Existing Contracts: All existing agreements will be assigned to and honored by Badger Meter, Inc. No action is needed on your part unless your internal policy requires a formal assignment notice; we will provide this upon request.
  • Service Contracts: Service contracts will continue without interruption. Terms, pricing and points of contact remain unchanged unless previously renegotiated.
  • Warranties: All existing warranty coverage remains in place and will be administered by Badger Meter under the same conditions you originally agreed to.

Will my main contacts or where I get service change?

No. Your day-to-day contacts remain the same; only their email addresses will change to the @badgermeter.com domain after January 1, 2026. All current office and service locations remain operational with no changes to delivery or service areas.

Will email addresses, websites or portals change?

  • Email Addresses: After January 1, 2026, all employees will be reachable at @badgermeter.com email addresses (for example, jsmith@badgermeter.com).
  • Websites: We have transitioned content and resources from www.smartcoversystems.com and www.dataflowsys.com to www.badgermeter.com.
  • My SmartCover Portal/mysmartcover.com: Nothing will change. The name and access remain the same for SmartCover users.
  • Customer & Partner Portals: Portals will remain unchanged and updates will be communicated at a later date.
  • Social Media: Please follow Badger Meter on LinkedIn (@BadgerMeter).

What do I need to do?

We ask that you:

  1. Update your records to reflect Badger Meter, Inc. as the new legal entity.
  2. Direct payments for all invoices dated on or after January 1, 2026 to Badger Meter using the updated remittance details we have provided to you (SCS or DFS, as applicable).
  3. Use @badgermeter.com email addresses when contacting your account representatives after January 1, 2026.
  4. Download a new W-9 and, if needed, request a COI for your vendor files.
