Nearly 40 years ago, Badger Meter published “Our Corporate Conscience,” a brochure that would serve as the underlying philosophy and principles by which our business is conducted. It translated the mission, products and corporate goals into a code of ethics, along with expectations for customer, employee and community relations. Driving the “triple bottom line” of people, planet and profits, has been part of Badger Meter DNA and culture for decades.
The Board, primarily through its Nominating and Governance Committee, provides oversight of our overall approach to sustainability, including corporate social responsibility. The approach is informed by regular engagement with shareholders and other stakeholders. In connection with this oversight, the Board and the Nominating and Governance Committee have reviewed the company’s sustainability strategy and regularly discuss this strategy with management.
The ESG Steering Committee of Badger Meter was established in 2018. Led by the Vice President-Investor Relations, Strategy & Treasurer, the ESG Steering Committee is comprised of cross-functional leaders from major disciplines including sales, engineering, operations, human resources and legal. The committee meets regularly to identify, prioritize and drive sustainability and other ESG efforts and monitor progress. Representatives of the committee provide regular reports to the CEO and annually to our Board of Directors.
While management has responsibility for managing risk, our Board has responsibility for risk oversight, and our Audit and Compliance Committee oversees our enterprise risk management (ERM) processes and policies. This includes cybersecurity and data privacy risks. Risk management is an evergreen process and inherent in the company’s strategic and operational decision-making.
